Terms & Conditions

By purchasing, licensing, or using materials and services from ELab Consulting LLC ("we," "us," or "our"), you ("you" or "your") agree to be bound by the following Terms & Conditions. Please read these terms carefully before using our services.

1. Intellectual Property

All curriculum materials, toolkits, guides, training content, workbooks, worksheets, templates, and related materials provided by ELab Consulting LLC are our exclusive intellectual property and are protected by United States copyright law and international copyright treaties.

Ownership: We retain all rights, title, and interest in and to our materials, including all intellectual property rights.

Unauthorized Use is Prohibited: You may not:

  • Copy, reproduce, modify, adapt, or create derivative works from our materials

  • Distribute, resell, sublicense, rent, lease, or lend our materials

  • Publicly display, perform, or transmit our materials

  • Reverse engineer or decompile any digital content

  • Remove or alter any copyright, trademark, or proprietary notices

Any unauthorized use without prior written consent from ELab Consulting LLC may result in legal action and termination of your license.

2. License of Use

When you purchase or license our materials, you receive a limited, non-exclusive, non-transferable license to use them as described below:

Individual/Personal Purchases:

  • Grants a license for your personal professional use only

  • You may use materials in your own classroom, training sessions, or consulting practice

  • You may not share, transfer, or allow others to access your licensed materials

School/District/Organizational Licenses:

  • Grants use by designated staff members within the licensed organization only

  • Valid for the duration of the license term specified at purchase

  • Number of authorized users is limited to the number specified in your license agreement

  • Organization is responsible for ensuring compliance by all authorized users

Permitted Uses:

  • Use materials in classroom instruction, workshops, and training settings

  • Make copies for students or participants as instructional handouts during your authorized sessions

  • Adapt materials for use within your licensed scope (with proper attribution maintained)

Prohibited Uses:

  • Sharing login credentials or access with unauthorized individuals

  • Distributing materials to individuals or organizations outside your licensed scope

  • Posting materials on public websites, social media, or file-sharing platforms

  • Selling, reselling, or charging others for access to our materials

  • Using materials for commercial training programs not authorized by ELab Consulting LLC

3. Payment Terms

Payment Required: All fees must be paid in full before access to materials or services is granted.

Payment Methods: We accept payment via credit card, debit card, and other methods as indicated at checkout.

Pricing: All prices are in U.S. Dollars (USD) and are subject to change. Current customers will be notified of price changes at least 30 days before they affect existing subscriptions or renewals.

Auto-Renewal: Subscription and annual licenses will automatically renew at the end of each term unless you cancel at least 30 days prior to the renewal date. You will be charged the then-current renewal rate.

Failed Payments: If a payment fails or is declined, your access may be suspended until payment is resolved. We will attempt to notify you and provide a reasonable opportunity to update payment information.

Taxes: You are responsible for any applicable sales tax, use tax, VAT, or other taxes or duties as required by law.

4. Access & Delivery

Digital Delivery: Digital products and materials are delivered via email or online portal access within 24–48 hours of confirmed payment (typically much faster).

Account Security: You are responsible for:

  • Maintaining the confidentiality of your account credentials

  • All activity that occurs under your account

  • Notifying us immediately of any unauthorized use

Service Modifications: We reserve the right to:

  • Update, modify, improve, or discontinue products and services with reasonable advance notice

  • Perform scheduled maintenance that may temporarily affect access

  • Make changes to enhance user experience or comply with legal requirements

Technical Requirements: You are responsible for ensuring your devices and internet connection meet the minimum technical requirements for accessing our materials.

5. Disclaimer & Limitation of Liability

Educational Tools Only: Our curriculum, training materials, workbooks, and consulting services are educational and professional development tools. They are not a substitute for:

  • Professional mental health counseling or therapy

  • Psychological evaluation or assessment

  • Medical treatment or diagnosis

  • Legal or medical advice

Professional Responsibility: Users are responsible for applying materials appropriately within their professional scope of practice and in accordance with their professional licensing requirements and ethical guidelines.

No Warranties: Materials and services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to:

  • Implied warranties of merchantability

  • Fitness for a particular purpose

  • Non-infringement

  • Accuracy, reliability, or completeness of content

Limitation of Liability: To the fullest extent permitted by law, ELab Consulting LLC shall not be liable for:

  • Indirect, incidental, special, consequential, or punitive damages

  • Loss of profits, revenue, data, or business opportunities

  • Outcomes, results, or consequences from use, misuse, misapplication, or adaptation of materials

  • Technical issues, system failures, data loss, or access interruptions

  • Actions or decisions made based on our materials

Maximum Liability: In no event shall our total liability to you for all claims related to our services exceed the amount you actually paid to ELab Consulting LLC for the specific product or service giving rise to the claim in the twelve (12) months preceding the claim.

6. User Conduct

By using our services, you agree to:

  • Use materials responsibly, ethically, and professionally

  • Comply with all applicable federal, state, and local laws and regulations

  • Follow your school district policies, organizational guidelines, and professional ethical standards

  • Respect the intellectual property rights of ELab Consulting LLC

  • Not use materials for harmful, discriminatory, harassing, or illegal purposes

  • Not engage in any activity that interferes with or disrupts our services

  • Provide accurate information when creating accounts or making purchases

We reserve the right to investigate violations and cooperate with law enforcement authorities when necessary.

7. Termination

Termination by ELab Consulting LLC: We reserve the right to suspend or terminate your access immediately if:

  • You violate these Terms & Conditions

  • Fraudulent activity is detected

  • Unauthorized use or distribution of materials occurs

  • Payment obligations are not met

  • We discontinue services (with reasonable notice)

Effect of Termination: Upon termination:

  • Your license to use materials ceases immediately

  • You must cease all use of our materials and destroy any copies in your possession

  • No refunds will be issued for accounts terminated due to violations

  • You remain liable for any amounts owed prior to termination

Termination by You: You may cancel your subscription or license in accordance with our Cancellation Policy. Refunds, if any, will be provided according to that policy.

8. Refund & Cancellation Policy

Please refer to our separate Cancellation Policy for detailed information about refunds, cancellations, and subscription management.

In general:

  • Digital products are typically non-refundable once access is granted

  • Service bookings may be subject to cancellation fees depending on timing

  • Subscription cancellations must be made at least 30 days before renewal to avoid charges

9. Indemnification

You agree to indemnify, defend, and hold harmless ELab Consulting LLC, its owners, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use or misuse of our materials or services

  • Your violation of these Terms & Conditions

  • Your violation of any rights of another party

  • Your violation of any applicable laws or regulations

10. Dispute Resolution

Informal Resolution First: We value our customers and want to resolve issues amicably. Before pursuing formal dispute resolution, please contact us at [Insert Email] to discuss the matter. Many disputes can be resolved quickly through direct communication.

Governing Law: These Terms & Conditions are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

Venue: ELab Consulting LLC is based in Southern California and provides services nationwide. For purposes of dispute resolution, venue shall be in the state or federal courts located in California.

Arbitration: If we cannot resolve a dispute informally, any disputes shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association. The arbitration will be conducted in California, and judgment on the arbitration award may be entered in any court having jurisdiction.

Exceptions to Arbitration: Either party may seek injunctive or equitable relief in court to protect intellectual property rights.

Class Action Waiver: You agree to resolve disputes with us only on an individual basis and not as part of any class, consolidated, or representative action. There will be no right or authority for any claims to be arbitrated or litigated on a class action basis.

11. Severability

If any provision of these Terms & Conditions is found to be unlawful, void, or unenforceable by a court of competent jurisdiction, that provision shall be deemed severable and will not affect the validity and enforceability of the remaining provisions.

12. Entire Agreement

These Terms & Conditions, together with our Privacy Policy and Cancellation Policy, constitute the entire agreement between you and ELab Consulting LLC regarding your use of our services and supersede all prior or contemporaneous communications and proposals, whether oral or written.

13. Modifications to Terms

We reserve the right to modify these Terms & Conditions at any time. When we make changes:

  • We will update the "Last Updated" date at the top of this page

  • We will notify you of material changes via email or through a notice on our website

  • Your continued use of our services after changes take effect constitutes acceptance of the updated terms

  • If you do not agree to the modified terms, you must discontinue use of our services

14. Force Majeure

ELab Consulting LLC shall not be liable for any delays or failures in performance of our obligations due to circumstances beyond our reasonable control, including but not limited to:

  • Acts of God (earthquakes, floods, fires, storms)

  • Pandemics, epidemics, or public health emergencies

  • War, terrorism, civil unrest, or government actions

  • Power outages, internet service failures, or telecommunications issues

  • Strikes, labor disputes, or supply chain disruptions

  • Technical failures or cyber attacks

Performance obligations will be suspended during the period of such force majeure events.

15. Survival

Provisions of these Terms & Conditions that by their nature should survive termination shall survive, including but not limited to: Intellectual Property, Limitation of Liability, Indemnification, Dispute Resolution, and Governing Law.

16. Assignment

You may not assign or transfer these Terms & Conditions or your rights hereunder without our prior written consent. We may assign these terms in connection with a merger, acquisition, or sale of assets, or by operation of law.

17. Waiver

Our failure to enforce any right or provision of these Terms & Conditions will not be considered a waiver of those rights. Any waiver must be in writing and signed by an authorized representative of ELab Consulting LLC.
